RIA™ Terms of Service

1. Acceptance of Terms

By accessing or using the RIA™ platform ("Platform"), you ("User," "Customer," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Description of Service

Resilience Intelligence Advantage (RIA) ("we," "our," or "us") provides the RIA™ platform, a software-as-a-service (SaaS) solution designed to help government entities and organizations assess climate risks and develop resilience action plans.

The Platform includes features such as hazard mapping, risk assessment, resilience planning tools, progress tracking, and AI- powered assistance.

3. User Accounts and Access

To access the Platform, Users must:

• Create an account with accurate information
• Maintain the confidentiality of login credentials
• Notify RIA immediately of any unauthorized access
• Use the Platform only for lawful purposes
• Comply with all applicable laws and regulations

RIA reserves the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

4. Subscription and Payment

Access to the Platform is provided on a subscription basis. Pricing, billing terms, and subscription details are specified in your subscription agreement or order form.

Payment terms:

• Subscriptions are billed in advance
• Fees are non-refundable except as required by law
• RIA may modify pricing with 30 days' notice
• Late payments may result in service suspension

5. Intellectual Property

All rights, title, and interest in the Platform, including software, algorithms, data models, databases, documentation, and related materials, are owned by Resilience Intelligence Advantage (RIA) and protected by copyright, trademark, trade secret, and other intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable license to:

• Access and use the Platform for authorized purposes
• Generate reports and export data for internal use

Users may not:

• Reverse engineer, decompile, or disassemble the Platform
• Copy, modify, or create derivative works
• Sell, rent, lease, or sublicense access
• Remove or alter proprietary notices
• Use the Platform to develop competing products

6. Customer Data

Customer retains ownership of all data uploaded to the Platform ("Customer Data"). RIA processes Customer Data solely to provide the services described in these Terms and our Privacy Policy.

Customer represents and warrants that:

• Customer has the right to upload and use Customer Data in the Platform
• Customer Data does not violate any laws or third-party rights
• Customer will comply with applicable privacy and data protection laws

7. Privacy and Data Protection

RIA's collection, use, and protection of personal information is governed by our Privacy Policy. Government customers may also be subject to a Data Processing Addendum (DPA).

RIA does not sell personal data, use personal data for advertising, or train AI models on customer data.

8. Prohibited Uses

Users may not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform
• Interfere with Platform operations or other users
• Use the Platform for fraudulent purposes
• Share login credentials with unauthorized parties
• Scrape, crawl, or extract data through automated means

9. Disclaimers and Limitations

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

RIA disclaims all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy, completeness, or reliability of data
• Uninterrupted or error-free operation
• Results obtained from using the Platform

RIA is not liable for decisions made based on Platform outputs. Users should verify information and consult qualified professionals for critical decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

RIA's total liability for any claim shall not exceed the amount paid by Customer in the 12 months preceding the claim.

11. Indemnification

Customer agrees to indemnify and hold harmless RIA from claims arising from: (a) Customer's use of the Platform, (b) violation of these Terms, (c) violation of any laws or third-party rights, or (d) Customer Data.

12. Termination

Either party may terminate the subscription:

• At the end of the subscription term with proper notice
• Immediately for material breach (with opportunity to cure)
• Immediately if required by law

Upon termination, Customer may request deletion of Customer Data. Certain provisions (intellectual property, limitations of liability) survive termination.

13. Modifications to Terms

RIA may update these Terms from time to time. Material changes will be communicated via email or Platform notification. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in Illinois.

15. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy and any subscription agreement, constitute the entire agreement.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: Customer may not assign these Terms without RIA's written consent.
• Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.
